End User Licence Agreement

Subject to your compliance with this EULA and payment of applicable fees, NextGen Intelligence LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Products solely for your internal business or personal purposes.

This licence does not include the right to: (a) copy, modify, or create derivative works; (b) reverse engineer, decompile, or disassemble any Product; (c) remove or alter any proprietary notices; (d) use any Product for the benefit of third parties as a service bureau or outsourcing arrangement without our written consent; or (e) transfer or sublicense the licence.

• You may not use the Products to develop competing products or services.
• You may not benchmark or publish performance data about the Products without our written consent.
• You may not circumvent any technical protection measures.
• You may not use the Products in any way that violates applicable law.
• You may not use the Products to process data in violation of our Acceptable Use Policy (see Terms of Service, Section 4).

The Products, including all software, documentation, and related materials, are and remain the exclusive property of NextGen Intelligence LLC and its licensors. This EULA does not transfer any ownership rights to you. All rights not expressly granted are reserved.

You are responsible for: (a) the inputs you provide to AI features; (b) evaluating AI Outputs before use; and (c) ensuring that your use of AI Outputs complies with applicable law and does not infringe third-party rights.

AI Outputs do not constitute professional advice (legal, medical, financial, or otherwise). Do not rely on AI Outputs as a substitute for professional judgement.

We may update, modify, or discontinue features of the Products. For paid subscriptions, we will not materially reduce core functionality during the subscription term without offering a remedy. Updates may be applied automatically; continued use after an update constitutes acceptance of any changes to this EULA.

Your use of the Products is subject to our Privacy Policy and, where applicable, our Data Processing Addendum. By using the Products, you consent to the collection and use of your data as described in those documents.

This EULA is effective from the date you first access a Product and continues until terminated. We may terminate this EULA immediately if you breach any of its terms. You may terminate by ceasing all use of the Products and deleting any local copies.

On termination: (a) your licence immediately ceases; (b) you must delete any local copies of the software; and (c) provisions that by their nature should survive (ownership, disclaimers, limitation of liability, governing law) will survive.

THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTGEN INTELLIGENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCTS WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTGEN INTELLIGENCE’S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE FEES YOU PAID FOR THE PRODUCT IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL NEXTGEN INTELLIGENCE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties.

This EULA is governed by the laws of the State of Delaware, USA. Disputes are subject to the dispute resolution provisions in the Terms of Service.

This EULA, together with the Terms of Service, Privacy Policy, DPA, Cookie Policy, and AI Use Policy, constitutes the entire agreement between you and NextGen Intelligence regarding the Products and supersedes all prior agreements.
